Terms and Conditions
Effective date: October 10, 2026
These Terms and Conditions govern your access to https://www.jittersystem.com and your use of services provided by JitterSystem.
By accessing our website, submitting an enquiry, booking a discovery call, or entering into a service agreement with JitterSystem, you agree to the terms applicable to your use of our website and services. A service engagement begins when both parties agree to the relevant scope and commercial terms.
1. Our Services
JitterSystem provides digital marketing and customer acquisition services, which may include:
- Meta advertising campaign management.
- Lead generation and campaign optimisation.
- AI voice calling for new enquiries.
- Lead qualification based on agreed criteria.
- Automated lead follow ups.
- Appointment booking and reminders.
- Lead management and reporting.
- Related marketing and automation services agreed in writing.
The exact services, deliverables, responsibilities, fees, and campaign requirements will be set out in the applicable proposal, invoice, or written service agreement.
2. Pricing and Investment
Our services start at a minimum investment of $700. The applicable fee, payment schedule, service scope, and any additional costs will be confirmed in writing before work begins.
Advertising spend, software subscriptions, telecommunication charges, third party platform fees, and other external costs will be treated according to the applicable proposal or written agreement.
Clients must pay all agreed fees according to the stated payment terms.
3. Performance Based Engagements
Some JitterSystem engagements operate on a performance based model.
For these engagements, the applicable written agreement will define the performance criteria, qualifying events, attribution rules, reporting method, payment obligations, and any conditions attached to the performance fee.
A qualifying lead, booked appointment, attended appointment, or closed sale will be assessed according to the definitions agreed for the relevant engagement.
Performance based pricing does not automatically guarantee a particular number of leads, appointments, sales, or revenue.
4. Advertising Results
JitterSystem works to improve customer acquisition through advertising, lead response, qualification, and follow up systems.
Results depend on factors including advertising budgets, market demand, competition, pricing, offer quality, lead quality, sales processes, client responsiveness, and third party platform performance.
We do not guarantee a specific advertising return, cost per lead, conversion rate, number of appointments, sales volume, or revenue unless an express written agreement states otherwise.
5. AI Calling and Lead Response
Our systems are designed to initiate contact with new leads within 60 seconds of an enquiry when the required data, integrations, and systems are available.
Actual response times may vary because of technical issues, platform delays, connectivity, service provider availability, or incorrect lead information.
AI voice agents may ask qualifying questions, record responses where enabled and legally permitted, arrange appointments, send reminders, and conduct follow ups according to the agreed configuration.
AI systems do not guarantee that every lead will answer, qualify, attend an appointment, or become a customer.
6. Client Responsibilities
Clients agree to:
- Provide accurate business information, offers, pricing, and service details.
- Provide timely access to the advertising accounts, forms, calendars, CRM systems, and integrations required for the service.
- Maintain sufficient advertising funds when advertising spend is required.
- Respond to qualified leads and attend booked appointments.
- Supply accurate lead qualification criteria and booking availability.
- Review campaign information and notify JitterSystem of material errors.
- Obtain any permissions required to collect and share lead information.
- Ensure their business, products, services, advertising claims, and sales practices comply with applicable laws.
- Honour agreed payment obligations.
JitterSystem is not responsible for losses caused by inaccurate client information, unavailable appointments, failure to follow up with leads, or a client's failure to fulfil its own sales and service obligations.
7. Consent and Communications Compliance
Clients must ensure that their lead forms and other collection methods provide legally required notices and obtain valid consent for the communications their campaigns will trigger.
This includes applicable requirements for AI generated or prerecorded voice calls, automated calls, text messages, email marketing, call recording, telemarketing restrictions, do not call requirements, and withdrawal of consent.
Clients must not instruct JitterSystem to contact individuals unlawfully, disregard opt out requests, or use lead information for purposes beyond the permissions obtained.
JitterSystem may suspend affected campaigns or automated communications when it reasonably believes the activity creates a legal, privacy, security, or compliance risk.
8. Advertising Platforms and Third Party Services
Our services may rely on Meta, website hosting providers, CRM platforms, AI voice providers, calendar applications, messaging services, and other third party tools.
These providers operate under their own terms, policies, technical restrictions, and service availability.
JitterSystem does not control third party outages, account suspensions, policy changes, algorithm changes, service interruptions, or modifications to third party pricing.
We are not responsible for a platform's independent decisions, although we will make reasonable efforts to manage the services within our agreed scope.
9. Fees, Payments, and Refunds
Fees and payment schedules are governed by the applicable written agreement or invoice.
Clients must raise billing disputes promptly and provide sufficient information for review.
Advertising spend and third party charges are subject to the relevant provider's billing and refund policies. JitterSystem does not guarantee refunds for advertising spend or third party charges.
Fees for work already performed, completed deliverables, and committed third party costs are not refundable except where required by law or expressly agreed in writing.
Any performance based fees, credits, refunds, or adjustments must follow the terms agreed for the relevant engagement.
10. Cancellation and Suspension
Either party may terminate a service engagement in accordance with the notice period and termination conditions stated in the applicable written agreement.
JitterSystem may suspend or terminate services for non payment, unlawful activity, misuse of systems, material breach of these Terms, or failure to provide information or permissions required to operate a campaign lawfully.
On termination, the client remains responsible for fees earned, outstanding payments, and authorised costs incurred before termination, subject to the applicable agreement and law.
Where technically and legally appropriate, access to client accounts, data, and deliverables will be handled according to the service agreement.
11. Intellectual Property
Each party retains ownership of the intellectual property it owned before the engagement.
JitterSystem retains ownership of its pre existing systems, methods, templates, workflows, software, automation logic, internal processes, and proprietary materials.
Ownership and permitted use of campaign creatives, copy, reports, recordings, configurations, and other deliverables will follow the applicable written agreement.
Clients must not reproduce, resell, distribute, or reverse engineer JitterSystem's proprietary systems without written permission.
12. Confidentiality and Data Protection
Both parties agree to take reasonable steps to protect confidential business information received during an engagement.
JitterSystem will process personal information according to its Privacy Policy, the applicable service agreement, and relevant legal requirements.
Clients must have the authority and permissions necessary to provide lead data to JitterSystem and its service providers.
Neither party should disclose the other party's confidential information except as authorised, required by law, or permitted under the applicable agreement.
13. Limitation of Liability
To the extent permitted by law, JitterSystem will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost revenue, lost business opportunities, or losses resulting from third party platform interruptions.
JitterSystem does not guarantee that every lead will be contacted successfully, every appointment will be attended, or every prospect will convert into a paying customer.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Any additional liability limits agreed between the parties will be governed by the applicable written service agreement.
14. Indemnification
Each party remains responsible for its own unlawful conduct, material breach of its obligations, and infringement of third party rights.
To the extent permitted by law, clients are responsible for claims arising from their products, services, advertising claims, supplied materials, unlawful use of lead data, lack of required consent, or instructions that violate applicable law.
Any indemnification obligations must be interpreted subject to applicable law and the terms of the relevant service agreement.
15. Changes to Services and Terms
JitterSystem may update its website, service offerings, and these Terms when necessary.
Changes to an existing paid engagement that materially affect pricing, deliverables, or contractual obligations will be handled according to the applicable service agreement and any legally required notice or consent.
The current version of these Terms will be published on our website.
16. Governing Law and Disputes
These Terms are governed by the laws of India, subject to applicable mandatory legal protections.
The parties will first attempt to resolve disputes through good faith discussions. Where a dispute cannot be resolved informally, it will be handled by the courts having appropriate jurisdiction under applicable Indian law.
Nothing in this section removes any legal rights that cannot lawfully be excluded.
